By purchasing, downloading, installing, or using DEXA Upgrade ("the Software"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Software on behalf of an organization, you represent that you have authority to bind that organization to these Terms. If you do not agree, do not use the Software.
DEXA Upgrade is a desktop application with optional cloud services that allows DEXA scan facilities to:
The Software is provided by Moonshot Medical LLC ("Moonshot," "we," "us"), an Illinois limited liability company.
DEXA Upgrade is offered on a subscription basis:
Subscriptions auto-renew at the end of each billing period unless cancelled. All payments are processed through Stripe. Moonshot does not store or have access to your credit card numbers. You can cancel at any time through your account dashboard; cancellation takes effect at the end of the current billing period. No refunds are issued for partial billing periods.
New users receive a 14-day free trial with full functionality. A valid credit card is required to start a trial but will not be charged until the trial period ends. At the end of the trial, you must subscribe to continue using the Software. If you do not subscribe, your access to the Software will be suspended, but your data will be retained for 30 days in case you choose to subscribe later.
Subject to these Terms and payment of applicable fees, Moonshot grants you a limited, non-exclusive, non-transferable, revocable license to install and use the Software on a single machine per license. Additional machines require additional licenses. This license does not convey any ownership interest in the Software.
You retain full ownership of all scan data, patient information, and reports you create or upload through the Software. Moonshot stores your data solely for the purpose of providing the service (cloud sync, backup, report generation). We do not sell, share, or use your data for any purpose other than delivering the service to you.
DEXA scan data may constitute Protected Health Information (PHI) under the Health Insurance Portability and Accountability Act (HIPAA). Moonshot acts as a Business Associate when handling PHI on your behalf. Key safeguards include:

You agree not to:
Either party may terminate this agreement at any time. You can cancel your subscription through your account dashboard. Moonshot may terminate your access if you breach these Terms.
Upon termination:
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. MOONSHOT DISCLAIMS ALL WARRANTIES INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
DEXA Upgrade is not a medical device and is not cleared or approved by the FDA. Reports generated by the Software are informational aids intended to supplement professional clinical judgment. They are not diagnostic and should not be used as the sole basis for medical decisions.
TO THE MAXIMUM EXTENT PERMITTED BY LAW, MOONSHOT'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR THE SOFTWARE SHALL NOT EXCEED THE TOTAL FEES YOU PAID TO MOONSHOT IN THE 12 MONTHS PRECEDING THE CLAIM.
MOONSHOT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS.
These Terms are governed by the laws of the State of Illinois, without regard to conflict of law principles. Any disputes arising from these Terms or the Software shall be resolved in the state or federal courts located in Illinois.
Moonshot may update these Terms from time to time. We will notify you of material changes at least 30 days in advance via the email address associated with your account. Continued use of the Software after the effective date of updated Terms constitutes acceptance. If you do not agree with the updated Terms, you may cancel your subscription before they take effect.
